Welcome to Valuelogistics. These terms formally outline the rights and responsibilities when using our Dispatch and Logistics Services. Read them carefully before booking any capacity with our agency.
1. Carrier Representation
By engaging Valuelogistics, you designate our dispatchers as your authorized non-exclusive representatives capable of negotiating, executing, and accepting binding ratcons (rate confirmation agreements) directly with registered freight brokers and shippers on behalf of your Motor Carrier Authority.
2. Independent Contractor Status
Valuelogistics functions solely as an independent administrative dispatch entity. We are neither a freight broker nor an insured motor carrier. Consequently, Valuelogistics possesses no cargo liability. You retain full responsibility for your equipment, CDL requirements, hours of service compliant behaviors, safety inspections, and freight claims arising during transit.
3. Payment & Invoicing Guarantees
You agree to remit the dispatch fee as outlined by the selected subscription or payload percentage via Stripe. Failure to successfully fund our dispatch fees or deliberately circumventing our administrative invoices for directly solicited lanes will result in immediate termination of dispatch agreements.
4. Limitation of Liability
Under no circumstance shall Valuelogistics, or its employees, be legally liable for any damages inherently related to the freight (e.g., loss, late delivery, spoilage), accidents occurring en-route, or broker non-payment/factoring rejections. We perform due diligence utilizing major load boards, but the ultimate decision to haul load rests strictly with the carrier.
5. Governing Law
This agreement shall be governed and interpreted per the transport jurisdiction laws applicable where our corporate office is headquartered, superseding conflicts of laws principles.
